Terms of Service
These terms govern your use of ExactSplit. By creating an account you agree to them. If you do not agree, do not use the service.
What ExactSplit is, and is not
ExactSplit is software that estimates taxes for self-employed people in the United States, suggests amounts to set aside, tracks a reserve, keeps books from bank data, and produces working papers for a tax preparer.
It is not tax advice. Every figure is an estimate built from the data available to it and the rules as we understand them, with the approximations it makes stated in the product. Tax law is specific to your situation. You are responsible for your own return, for confirming anything material with a qualified professional, and for any decision you make based on the service. Where the product flags a result for review by a CPA, that flag is part of the output.
It does not file returns. ExactSplit is not a tax return preparer and does not prepare or submit returns on your behalf.
It does not move money at your bank. Bank connections are read-only, and ExactSplit never initiates transfers or payments from them. Any transfer to a reserve account at your bank, or payment to a tax authority, is made by you, outside the service. If you use the optional ExactSplit Wallet and switch on auto-split, you authorize ExactSplit to instruct Whop to move the tax share of each payment you receive from one of your wallets to another of your wallets; you can switch this off at any time, and it never sends money to anyone else.
Your account
You must be at least 18 and using the service for a business you operate. You are responsible for keeping your login secure and for everything done under your account. You must give us an email address we can reach you at.
Your data and our access to it
You keep ownership of your data. You grant us the right to process it to provide the service, as described in our Privacy Policy. By connecting a bank you authorize us to retrieve transactions and balances through Plaid on your behalf and you agree to Plaid's terms for that connection. You can revoke that access at any time from the dashboard.
The accuracy of your estimate depends on the completeness of the data. Income and expenses that do not pass through a connected account, figures you enter incorrectly, and classifications you do not correct will produce a wrong estimate. The product tells you what it cannot see; it is your responsibility to fill the gaps.
Payment
Paid plans are billed through Stripe under the price and term shown at purchase. Sales tax is added where required. Subscriptions renew automatically unless cancelled before the renewal date. Refunds are governed by the refund terms shown at checkout. We may change prices with notice before your next renewal. Early access accounts are free for the period stated when access was granted.
ExactSplit Wallet. The optional wallet is provided by Whop, Inc. and its financial institution partners under their own terms, which you accept when you open one. ExactSplit is not a bank, does not hold wallet funds, and is not a party to the movement of money within the wallet. See the wallet disclosures.
Acceptable use
Do not use the service for anything unlawful, to connect accounts you are not authorized to access, to interfere with the service or other users, to reverse engineer it, or to resell it. We may suspend accounts that do.
Availability and changes
We work to keep the service available but do not guarantee it. Bank data depends on Plaid and on your bank, both of which are outside our control. We may change or discontinue features. If we discontinue the service we will give you reasonable notice and a way to export your data.
Disclaimer of warranties
The service is provided as is and as available. To the fullest extent permitted by law we disclaim all warranties, express or implied, including fitness for a particular purpose and accuracy of results. Tax rules change, and a figure that was correct when computed may not be correct when you act on it.
Limitation of liability
To the fullest extent permitted by law, ExactSplit is not liable for any indirect, incidental, or consequential damages, or for tax, penalties, or interest you owe to any authority. Our total liability for any claim is limited to the amount you paid us in the twelve months before the claim arose. Some jurisdictions do not allow these limits, in which case they apply to the extent permitted.
Termination
You can delete your account at any time, which deletes your data and revokes bank access as described in the Privacy Policy. We may terminate accounts that breach these terms. Sections that by their nature should survive, including disclaimers, limitations, and governing law, survive termination.
Governing law
These terms are governed by the laws of the State of Delaware, without regard to conflict of law rules. Any dispute will be brought in the state or federal courts located in Delaware, and you consent to their jurisdiction.
Changes to these terms
If we change these terms materially we will email the address on your account before the change takes effect. Continued use after that date is acceptance.
